Autoscout Terms & Conditions

1. TERMS AND ACCEPTANCE

These Autoscout Terms & Conditions (these “Terms”) govern your access to and use of Autoscout (“Autoscout”) and related Services. By accessing or using Autoscout, registering an account with Autoscout, or by clicking the button “I accept” or respective check box in connection with or relating to these Terms, you acknowledge that you have read, accept without modifications and agree to be bound by these Terms and all terms incorporated herein by reference, which form a legally binding agreement between you and us. If you do not accept or agree to these Terms, you are not allowed to access or use Autoscout or related Services, and must immediately discontinue any use thereof. If you are acting for or on behalf of an entity, you hereby represent and warrant that you are authorised to accept these Terms and enter into a binding agreement with us on such entity’s behalf, and you accept these Terms both on behalf of such entity and on your own behalf.

2. GENERAL TERMS

These Terms form an integral part of the Blockscout Terms & Conditions (the “General Terms”), which are hereby incorporated by reference. For clarity, these Terms are the Services Agreements, as defined in the General Terms. These Terms and the General Terms shall be read and construed as a single agreement. Issues that are not addressed in these Terms shall be governed by the General Terms. In case of any conflict between these Terms and the General Terms, (i) these Terms shall prevail with respect to the subject matter explicitly addressed herein and (ii) the General Terms shall prevail with respect to any other subject matters.

3. DEFINITIONS

Unless otherwise defined herein, capitalised terms shall have the meaning assigned in the General Terms.

The provider of Autoscout and respective Services, i.e. the party hereto from the Blockscout’s side, depends on the types of Fees paid by you to us:

5. AUTOSCOUT

Description

Autoscout is the Product that allows you to use instances hosted by us to deploy your blockchain explorer (“Your Explorer”) within the Blockscout environment. A detailed description of Autoscout is provided in the Materials.

Disclaimers

Any use of the Autoscout shall be at your own risk, and you are solely responsible for determining if Autoscout is suitable for you. You shall conduct your own research and due diligence before deciding to use Autoscout. Additionally, you are also solely responsible for the accuracy of connections, configurations, and parameters that are set by you. Further disclaimers and reservations are outlined in the General Terms.

6. SERVICE TERMS

Set Up

To set up Your Explorer, you will need to add relevant instances. The number of instances is determined by you and may be further updated at your discretion, subject to availability on our side. The instance size should be selected based on the number of transactions anticipated for the instance. Approximate parameters applicable to the size of instances are provided by us.

Instance Size

Subject to availability, the instance size is configured (set, adjusted and managed) by you manually or via API. You are solely responsible for determining the appropriate instance size. Depending on the size of instances, applicable Fees will vary.

Domain

By default, your instance will be provided with our domain as follows or its equivalent: “[instance name].cloud.blockscout.com”. Subject to available functionality, you may have the option to change the domain manually or via API.

Hosting

Each instance is hosted by us, which includes the database storage, backups, and priority updates overseen by us and managed within our optimised data centre infrastructure. Hosting includes only hosting of our infrastructure and excludes node hosting.

7. SERVICE LEVELS

Disclaimers

We will use commercially reasonable efforts to provide Autoscout in accordance with the service levels outlined herein. The service levels warranties explicitly stated herein shall be in lieu of any other warranties, including implied.

Availability

While there is no absolute guaranteed uptime, we will make commercially reasonable efforts to provide an availability of at least 99% during each calendar month. The availability is calculated as the percentage of the total minutes in a calendar month during which your instance is accessible for use.

Maintenance

We may need to perform scheduled maintenance on Autoscout and your instances. We will make commercially reasonable efforts to provide at least a 24 hours’ notice to you prior to any scheduled maintenance that may result in a material interruption of your instance. In the event that scheduled maintenance is anticipated to last longer than 4 hours, we will make commercially reasonable efforts to inform you of the same in advance.

Data Backup

We will use commercially reasonable efforts to back up all hosted data on a regular basis. In the event of data loss due to a fault on our side, we will use commercially reasonable efforts to restore the lost data, if capable of being restored.

Data Security

We will use commercially reasonable efforts to ensure that all hosted data is kept by us secure and confidential. However, we will comply with all applicable laws and regulations related to the hosted data.

Transition

If required, upon your termination of Autoscout’s use and upon prior agreement, we may offer reasonable assistance to facilitate transfer of your data to a new hosting environment.

Advertisement Slots

By default, your instance will include predetermined advertisement slots that generate revenue exclusively for us, with no share allocated to you. Subject to available functionality, you may have the option to remove or add advertisement slots to your instance.

8. SERVICES

Upon prior agreement and at additional cost, we may provide additional Autoscout features, such as plugins, as well as support, consultation or development Services to you on an as-needed basis for any issues related to Your Explorer or Autoscout, such as fixing bugs or functionality issues, developing specific features, making front-end customizations, etc.

9. SUSPENSION AND TERMINATION

You are free to terminate your use of Autoscout at any time. Subject to prior agreement with us, you may also be able to temporarily suspend your use of Autoscout.

If you fail to timely pay the Fees, such as if you have insufficient balance, we may at any time with or without notice suspend and/or terminate your use of Autoscout.

In addition, as outlined in the General Terms, we are able to suspend or terminate Autoscout at any time with or without notice. However, if there is no unforceable event or a breach on your side, we will make commercially reasonable efforts to notify you in advance before suspending or terminating your use of the Autoscout.

10. PAYMENT TERMS

Fees

Applicable Fees will be published on the Website or other Communication Channels, or will be otherwise provided to you in writing. The Fees are paid on a prepayment basis. To use Autoscout or related Services, you will have to credit your balance and maintain sufficient funds to ensure consistent operation of your instance. Autoscout will be made available to you as soon as possible after you have sufficient balance.

Currency and Exchange Rate

The Fees shall be paid by you in the form and according to the details outlined by us in writing. If paid in USDC or USDT, the applicable U.S. dollar exchange rate shall be based on the then-current market rate for USDC or USDT reasonably determined by us. In the event that the market rate falls within 0.2% of 1 USD, the applicable rate shall be rounded to 1 USD.

Service Fees

Fees for additional Services will be further governed by the Services Agreements between you and us. Such Services Agreements shall be in addition to these Terms and not in lieu thereof.

Discounts

We may from time to time introduce and terminate certain discounts, such as a volume discount.

Fees Update

We may from time to time unilaterally update the Fees by providing you with a prior written notice. We will make a commercially reasonable effort to notify you at least 30 days in advance of any such update.

Suspension and Termination

Except where we terminate your use of Autoscout at our discretion without a cause, unconsumed fees are non-refundable and will not be prorated.

11. PUBLICITY

Unless otherwise agreed in writing, upon your first use of the Autoscout, we reserve the right to publicly refer to you (your project) as our client. For this purpose, you hereby grant us a non-exclusive, royalty-free, worldwide licence to use respective network’s name, logo, and any associated branding elements. This includes, but is not limited to, displaying such elements on our Website, in our portfolio, presentations, documentation, marketing materials, etc. If you prefer that we do not use it, please notify us in writing at any time, and we will as soon as possible cease such use.
